Affiliate Program Terms & Conditions for Honey Bee IPTV
Introduction:
Welcome to Honey Bee IPTV, a leading provider of internet-based television services. We are excited to offer you the opportunity to become one of our valued affiliates through our Honey Bee IPTV Affiliate Program (the 'Program'). The Program allows individuals and businesses to earn a commission by promoting and referring customers to our services. By participating in the Program, you agree to be bound by the terms and conditions outlined in this document (the 'Agreement' or 'Terms and Conditions').
1. Agreement
This Agreement constitutes a legally binding contract between you ('Affiliate' or 'You') and Honey Bee IPTV ('Honey Bee', 'Us', 'We' or 'Our'). By participating in the Program, you agree to comply with all of the terms and conditions set forth in this Agreement.
2. Eligibility
To be eligible to participate in the Program, You must meet the following requirements:
a. Be at least 18 years of age;
b. Have a valid email address and physical address;
d. Agree to the terms of this Agreement.
3. Application And Acceptance
To become an affiliate, you must sign-up through the your account client portal on our website or by contacting our support team. We reserve the right to accept or reject any application in our sole discretion. We may require additional information or documentation to complete the application process. By submitting the application, you represent and warrant that all information provided is accurate and complete.
4. Affiliate Commissions
Honey Bee IPTV offers a commission-based compensation structure to our affiliates. You will receive a commission for each new customer referred by you and who subscribes to Honey Bee IPTV's services using your unique affiliate link. The amount of commission payable will be outlined in our compensation plan, which is subject to change at our sole discretion. Commissions will be paid out as requested with the options available from the client portal. Withdraw methods include PayPal, Bitcoin, Direct Debit or another mutually agreed method. Note that we send the exact commission amount as per your account and we do not compensate any you of any fees charged by payments platform such as PayPal.
5. Restrictions
As an Affiliate, you must adhere to the following restrictions:
a. You may not engage in any activities that are illegal or harmful to Honey Bee IPTV;
b. You may not promote Honey Bee IPTV using misleading or deceptive tactics or information;
c. You may not use unauthorized or copyrighted material in your promotions of Honey Bee IPTV;
d. You may not engage in any activity that may damage or negatively affect Honey Bee IPTV's brand or reputation;
e. You may not use spam or unsolicited emails to promote Honey Bee IPTV; and
f. You may not participate in the Program if you are an employee, contractor or representative of a competitor of Honey Bee IPTV.
6. Intellectual Property
a. Ownership: All promotional materials, including but not limited to images, logos, videos, and text provided to you by us are the exclusive property of Honey Bee IPTV and are protected by applicable intellectual property laws. You may use these materials solely for the purpose of promoting Honey Bee IPTV and in accordance with this Agreement. You may not modify or alter these materials in any way.
b. License: By participating in the program, we grant you a non-exclusive, non-transferable, revocable license to use the promotional materials for the sole purpose of promoting Honey Bee IPTV. This license shall terminate upon your termination from the program.
c. Trademarks: You may use Honey Bee IPTV's trademarks only with our prior written permission and in accordance with this agreement. You may not use Honey Bee IPTV's trademarks in a manner that could confuse or mislead customers or in a way that implies you are affiliated with Honey Bee IPTV without authorization.
d. Non-Use: Upon termination of this Agreement, You must immediately cease using any intellectual property of Honey Bee IPTV and return or destroy all promotional materials in Your possession.
7. Good Faith And Fair Dealing
Regardless of the terms outlined in this Agreement, We are committed to maintaining a professional and mutually respectful relationship with Our Affiliates. We expect the same level of commitment from Our Affiliates. Any actions deemed to be in conflict with this principle, including but not limited to deceitful or malicious acts, will result in immediate termination from the Program and forfeiture of all commission payments.
8. Modifications
We reserve the right to modify, suspend, or terminate the program, and any or all terms and conditions of this Agreement, at any time and in our sole discretion. Notification of any changes will be sent to You via email, and it is Your responsibility to regularly check Your email and stay informed of any updates. By continuing to participate in the Program after any modifications have been made, You accept and agree to be bound by the new terms and conditions.
9. Term And Termination
This Agreement shall begin upon Your acceptance and approval into the Program and shall continue until terminated by either party. Either party may terminate this Agreement at any time, for any reason, by giving the other party written notice. Upon termination, You must immediately cease all promotional activities and return or destroy any promotional materials in Your possession. Any outstanding commission payments will be paid out according to the payment schedule outlined in this Agreement.
10. Indemnification
You agree to indemnify, defend, and hold harmless Honey Bee IPTV and its affiliates, directors, officers, and employees from and against all claims, demands, actions, liabilities, losses, expenses, damages, and costs, including reasonable attorney's fees, arising from or related to Your participation in the Program or Your breach of any provision of this Agreement.
11. Limitation Of Liability
In no event shall Honey Bee IPTV be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the Program, even if We have been advised of the possibility of such damages.
12. Governing Law And Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of Our principal place of business, without regard to its conflicts of law principles. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located in that state.
13. Assignment
You may not assign, delegate, or transfer any of Your rights or obligations under this Agreement without Our prior written consent. Any attempted assignment, delegation, or transfer in violation of the foregoing will be void and of no force or effect.
14. Entire Agreement
This Agreement, along with Our Privacy Policy and any other documents referenced herein, constitutes the entire agreement between You and Honey Bee IPTV with respect to the subject matter hereof and supersedes all prior and contemporaneous representations, agreements, and understandings.
15. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision. If such modification is not possible, the provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
16. Waiver
Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

IF YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF A BUSINESS OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS AND CONDITIONS.
